Terms of service
These terms govern the use of EMT Compute, the pay-as-you-go GPU computing service of EMT Aerospace Technologies S.r.l. By creating an account or buying credit you accept them. Read them together with the acceptable use policy and the Credit, refunds and withdrawal page, which form part of them.
1. Parties and contract documents
The provider is EMT Aerospace Technologies S.r.l., registered office Via Ragazzi del ’99, 43 — 25065 Lumezzane (BS), Italy, VAT and tax code IT04772590982, REA BS-640314, share capital € 10,000.00 fully paid (“EMT”). The customer is the individual or legal entity holding the account (“Customer”). A “Consumer” is a Customer who is an individual acting for purposes outside their trade, business, craft or profession; every other Customer is a “Business”.
The contract consists of these terms, the acceptable use policy, the Credit, refunds and withdrawal page, the summary of each order and, where the Customer entrusts EMT with personal data in its workloads, the data processing agreement. In case of conflict the order summary prevails for the commercial and technical terms of that order, followed by these terms. The privacy notice describes EMT’s own processing and is not a contract document.
2. The service
EMT Compute lets you rent single GPUs, whole nodes and multi-node clusters by time, prepare environments, training jobs and simulations, and monitor their usage and status. Resources are supplied by independent data-centre operators selected through the compute marketplace EMT works with; the catalogue shows, for each offer, GPU model, quantity, memory, location, reliability tier and price.
Availability changes in real time: an offer may no longer be available when you order. A resource is active only once the system confirms it. Unless a written agreement expressly provides otherwise, EMT does not guarantee a service level (SLA) or minimum availability; it provides the service with professional diligence and keeps resource status visible.
Time and cost estimates produced by planning tools (guided training, simulation lab) are indicative and do not bind EMT; the amount due is determined by actual usage.
3. Accounts
Buying credit and renting resources requires a verified account. The Customer must be at least 18, provide true and current information and, when acting for an organisation, be authorised to bind it. Multiple accounts to evade limits, checks or suspensions are not allowed; teams use workspaces with their roles.
The Customer safeguards passwords, recovery codes, API keys and SSH keys, enables two-factor authentication where possible and promptly reports suspected unauthorised access to info@emtaerospacetechnologies.com. Actions taken with the credentials of the Customer or its workspace members are attributed to the Customer, unless it proves unauthorised access not caused by its negligence.
4. Prepaid credit
The service is paid with prepaid credit denominated in US dollars (USD). At checkout the Customer sees the amount charged in euros, at the stated European Central Bank reference rate, or in its local currency at the rate offered by the payment provider, before confirming. Credit is added only after the payment provider confirms the payment.
Credit does not expire and remains available for future use. It is not electronic money or a deposit, earns no interest, cannot be transferred to other accounts and can only be used for EMT Compute services. Refunds and the right of withdrawal are governed by the Credit, refunds and withdrawal page. Promotional credit is subject to the conditions announced with the promotion and is not refundable.
5. Prices, reservation and charges
Prices are in USD per hour, excluding taxes, and refer to the stated configuration (per GPU, per node or per cluster). The order summary shows price, quantity, maximum duration and reserved amount before confirmation. A price confirmed in a valid quote does not change for that order.
At launch EMT reserves from the credit the amount for the chosen maximum duration. The final charge is calculated on the actual usage time measured by the platform and reconciled with the infrastructure operator’s statement; on termination the reserved but unused part is immediately available again. Persistent storage, backups and other add-ons are charged separately at the price shown on activation, until deleted.
EMT may correct erroneous charges, including in the Customer’s favour, within 60 days of the resource’s termination, showing them in the account activity.
6. Taxes and invoices
VAT and other taxes are applied under the law in force according to the Customer’s place of establishment and shown at checkout. A Business that provides a valid EU VAT number from a Member State other than Italy receives documents under the reverse-charge mechanism where applicable. The Customer is responsible for the accuracy of billing details; EMT issues the tax documents required by law.
7. Resource duration and local data
Each resource terminates automatically when the chosen maximum duration is reached, or earlier at the Customer’s request. On termination the instance’s local disk is erased by the operator and its data cannot be recovered. The Customer is responsible for saving results, checkpoints and data to persistent storage or its own systems before termination.
Stopping a process (for example a training job) does not end the rental: the resource is charged until it is terminated or reaches its maximum duration.
8. Customer content and software
Datasets, code, models, weights, results and other content uploaded or generated by the Customer remain owned by the Customer or the respective rights holders. The Customer grants EMT and its providers only the licence needed to host, transmit and process that content to provide the service. EMT does not use Customer content to train its own models or give it to third parties for their own purposes.
The Customer warrants that it holds the rights, licences and legal bases needed for the content and software it uses, including licences for commercial software (for example simulation codes) it brings to the platform. EMT’s platform, software, trademarks and documentation remain owned by EMT or its licensors: the Customer receives a limited, non-exclusive, non-transferable right of use for the term of the contract.
Third-party images and software listed in the catalogue (for example NVIDIA NGC registries or open-source projects) are subject to their own licences, which the Customer accepts directly with their owner.
9. Acceptable use, security and export
The Customer complies with the acceptable use policy, including the rules on international sanctions, export control and dual-use items. For workloads involving personal, health, financial or otherwise confidential data, the Customer assesses whether the chosen location and infrastructure tier are suitable, applies encryption and appropriate measures and, where EMT processes personal data on its behalf, signs the data processing agreement.
10. Suspension and termination
EMT may suspend access or terminate resources, proportionately, where there is a concrete risk to the security of the platform, third parties or data; in case of breach of the acceptable use policy, fraud, a manifestly unfounded payment dispute or an order of an authority. Where possible EMT warns the Customer beforehand stating the reason; in any case it informs the Customer without delay and allows a review.
The Customer may terminate the contract at any time by closing the account after terminating active resources. EMT may terminate with 30 days’ notice by email. For a Business, breach of sections 3, 8 and 9 or of the acceptable use policy entitles EMT to terminate the contract by written notice under art. 1456 of the Italian Civil Code. What happens to remaining credit on closure is governed by the Credit, refunds and withdrawal page.
11. Warranties and liability
The service is provided with professional diligence but without warranty that it will be uninterrupted, error-free or fit for a particular purpose, or of any particular training or simulation outcome. The Customer keeps independent copies of critical data and does not use the resources as the sole control of safety-critical systems.
Towards a Business, to the extent permitted by law, EMT is not liable for indirect or consequential damages, loss of profit, data or opportunity, and its total liability for all claims connected with the contract does not exceed the amounts paid by the Customer to EMT in the 12 months before the event. Liability for wilful misconduct or gross negligence (art. 1229 Italian Civil Code), for personal injury and any other liability that cannot be limited by law is unaffected.
Towards a Consumer, the rights and guarantees under the Italian Consumer Code and other mandatory rules remain intact; no clause of these terms limits them.
12. Indemnity
A Business indemnifies EMT against third-party claims, penalties and reasonable costs, including legal fees, arising from its content or from use of the service contrary to these terms, the acceptable use policy or the law.
13. Force majeure
Neither party is liable for failures caused by events beyond its reasonable control, such as widespread failures of third-party networks or data centres, power outages, acts of authorities, conflicts, epidemics or large-scale cyber attacks, provided it gives notice and works to limit their effects. Resources that cannot be used because of such events are not charged beyond actual usage.
14. Changes
EMT may update these terms for legal, technical or service-evolution reasons. Material changes are announced by email and in the console at least 30 days before they take effect, unless the law imposes shorter terms; a Customer who does not accept them may terminate free of charge before that date and obtain a refund of purchased, unused credit. Orders already confirmed remain governed by the terms in force at confirmation. The current version and date are always shown on this page.
15. Notices, governing law and jurisdiction
Notices are sent by email to the account address and through the console; notices to EMT go to info@emtaerospacetechnologies.com or, for formal acts, to the certified email emtaerospacetechnologies@pec.it. The contract is governed by Italian law. A Consumer resident in another EU Member State keeps the protection of the mandatory rules of their country of residence.
Disputes with a Business fall under the exclusive jurisdiction of the Court of Brescia. Disputes with a Consumer fall under the court of the Consumer’s place of residence or domicile. Consumers may also use the alternative dispute resolution bodies provided by law. If language versions differ, the Italian text prevails.
16. Specific approval (arts. 1341 and 1342 Italian Civil Code)
A Business declares that it has read and specifically approves the following clauses: 2 (no SLA and indicative estimates), 5 (reservation, corrections and charges), 7 (automatic termination and erasure of local data), 10 (suspension, termination and express termination clause), 11 (limitations of liability), 12 (indemnity), 14 (unilateral changes) and 15 (exclusive jurisdiction of Brescia).
